鉴于我国监事法律制度存在的诸多构建性问题,通过对诸多研究文献和相关案例的分析,文章将针对这些问题提出完善建议:1.对监事的人面机制进行改革,细化职工监事的民主选举程序、增加法定最少监事的人数已达到制衡董事会的目的。2.重新梳理我国现行独立董事制度与监事的关系,撤除独立董事制度,借鉴日本引入外部监事制度。3.增加监事会的职权以及加强法律保障。赋予监事会以董事任免权、监督董事与高管的经营活动权、细化监事检查公司财务的权力。4.强调监事的会计专业知识和监督能力。
In view of the many constructive problems existing in the legal system of supervisors in our country, through the analysis of many research documents and related cases, the article will put forward some suggestions on these issues: 1. Reforming the supervisor’s personal mechanism and refining the democratic election of supervisors Procedure, increasing the number of statutory minimum supervisors has reached the goal of balancing the board of directors. 2. To re-sort our current relationship between independent directors and supervisors system, remove the system of independent directors, drawing on Japan’s introduction of an external supervisor system. 3. Increase the powers of the board of supervisors and strengthen legal protection. Empower the board of supervisors to appoint and remove directors, supervise the rights of directors and senior management, and refine the power of supervisors to check the company’s financial affairs. 4. Emphasize supervisor’s accounting professional knowledge and supervisory ability.
