上海市第八建筑工程公司是个拥有6000多人的大型建筑企业,每年签订大量的建筑工程承包合同和建材购销合同。过去,由于不很重视合同管理,致使合同管理混乱,合同纠纷时有发生,该公司在87年对全公司85年9月—86年底的合同进行了检查,发现几乎没有一份是完整的有效合同。其中发生经济纠纷的,涉及标的达276,000元,这些合同存在主要条款不全、主体不合格、内容不合法等问题。公司领导十分重视这一情况,他们分析并找出了造成合同混乱的三个主要原因:
Shanghai Eighth Construction Company is a large construction company with more than 6,000 people, each signing a large number of construction contract and building materials purchase and sale contracts. In the past, due to the lack of emphasis on contract management, resulting in confusing contract management and contractual disputes, the Company conducted a review of the Company’s contract from September to the end of 1985 in 1987 and found that almost none of it was complete and valid contract.
