透明度条款是国际经济法上的一项最重要的原则,而美国2012年BIT范本作为当前美国进行双边投资谈判的根据,在持续推动投资开放自由的同时,进一步深化透明度原则在双边投资谈判中的作用,表面上看是在保护投资国的知情权,防止贸易壁垒和障碍,实质上是限制了东道国对外资的管理权。透明度条款对于处在发展中国家的中国来说,不仅是机遇更是挑战。
Transparency clauses are one of the most important principles in international economic law. While the 2012 BIT model in the United States serves as the basis for the current U.S. bilateral investment negotiations, while continuing to promote the liberalization of investment, it further deepens the principle of transparency in bilateral investment negotiations On the surface, this is to protect the rights of the investing countries to information, prevent trade barriers and obstacles, and in essence limit the host country’s right to manage foreign investment. Transparency clauses are not only opportunities but also challenges for China in developing countries.
