作为特许人和受许人之间的商业安排,特许经营与其他纵向协议一样,由于有促进品牌间竞争和抑制品牌内竞争的双重属性从而在反垄断法调整中得以区别对待,其规制规则在整体上趋于缓和。通过对美国反托拉斯法和欧共体竞争法特许经营规制规则的梳理,结合中国《反垄断法》的现行规定,剖析和评价中国特许经营的可能法律适用以及中国现行立法的利弊是非常必要的。
