从本质上讲,公司治理和组织领导力应是相辅相成的,但传统上,人们大多只是把公司治理聚焦于对领导活动的监督制衡上,这固然降低了领导活动的机会主义风险,但也不可避免地限制了组织领导力的充分发挥以及公司治理本身的机能发展。本文对公司治理和组织领导力的内在关系及其发展进行了分析,着重从与组织领导力多层次互动的视角,揭示了公司治理功能的持续演进方向与路径,并详细探讨了现代公司治理机制对组织领导力的“监督制衡”、“正向替代”以及“战略创新”的复合作用机理,从而展示出公司治理创新发展的一个新模式,并对现阶段我国公司治理建设提出一些建议。
In essence, corporate governance and organizational leadership should complement each other. However, traditionally, most people only focus corporate governance on the checks and balances of leadership activities. This, of course, reduces the opportunistic risks of leadership activities, but it does not Avoidance limits the full play of organizational leadership and the functional development of corporate governance itself. This paper analyzes the internal relationship and development of corporate governance and organizational leadership, and focuses on the multi-level interaction with organizational leadership, reveals the direction and path of continuous evolution of corporate governance functions, and discusses in detail the modern corporate governance mechanism. The mechanism of “supervise checks and balances”, “positive substitutions” and “strategic innovations” of organizational leadership, thus demonstrating a new model of corporate governance innovation and development, and at the present stage corporate governance in China. Construction made some suggestions.
