近年来,随着国内经济高速发展,对矿产资源的需求日趋旺盛。为了保障经济发展能源供应及企业可持续发展,一些煤炭企业积极响应国家“走出去”号召进行跨国并购,抢占国际煤炭资源。但在实施“走出去”并购过程中,普遍存在一些需要解决的问题,如缺乏明确的长期发展战略尤其是跨国并购的战略定位,并购目标和方向不明晰等。兖州煤业股份有限公司经过近十年的跨国资本运营,积累了丰富的跨国并购经验,为我国煤炭企业实施“走出去”并购提供了很好的借鉴。
In recent years, with the rapid development of the domestic economy, the demand for mineral resources has been booming. In order to ensure the economic development of energy supply and sustainable development of enterprises, some coal enterprises actively respond to the national “going out” call for cross-border M & A and seize the international coal resources. However, there are some common problems that need to be solved in the process of implementing “go global” mergers and acquisitions, such as the lack of a clear long-term development strategy, especially the strategic positioning of cross-border M & A, the ambiguous goals and direction of M & A. After nearly 10 years of transnational capital operation, Yanzhou Coal Mining Co., Ltd. has accumulated rich experience in cross-border M & A, which provides a good reference for China’s coal enterprises to implement the “Going Global” merger and acquisition.
