对国有企业进行制度创新,建立以公司法人制度为主要形式的现代企业制度,是发展社会主义市场经济的必然要求。党的十四届三中全会通过的《决定》指出:“国有企业实行公司制是建立现代企业制度的有益探索”。可以肯定,今后将会有相当一批国有企业逐步由工厂制改组为公司制。但这是一个复杂的过程,涉及到一些理论问题、政策问题、实践问题,必须高度重视。既要防止形式主义,搞“翻牌”公司,也要防止一哄而起,不顾条件硬性改组。要从实际出发,正确操作,搞好改造。正确选择国有企业公司化改造的形式我国传统的企业制度,是一种单一的全民所有制企业组织制度,而现代企业制度,从基本意义上讲,就是所谓的公司制度,它是市场经济国家中企业普遍采用的组织形式,也是市场经济体制下企业制度的主要法制形式。现代公司有两个突出特点,一是公司具有法人地位,二是公司建立股东会—董事会—经

However, this is a complicated process involving a number of theoretical issues, policy issues, and practical issues that must be highly valued. It is necessary to prevent formalism and engage in “flop” companies. It is also necessary to prevent them from going anywhere and rigidly reorganize them regardless of conditions. It is necessary to proceed from reality, operate correctly, and do a good job of transformation. Correctly choose the form of corporate transformation of state-owned enterprises The traditional enterprise system of our country is a single system of organization of enterprises owned by the whole people, while the modern enterprise system, in a basic sense, is the so-called company system, which is the enterprise in a market economy country. The commonly adopted form of organization is also the main legal form of the enterprise system under the market economy system. Modern companies have two prominent features. First, the company has a legal person status, and second, the company establishes a shareholders’ meeting - the board of directors.
