新公司法规定总经理可以担任公司法定代表人。在这种模式下,总经理既是法定代表人,又是高级管理人员。如何构建总经理法定代表人的公司治理,是摆在理论界和实务界面前的一个重要问题。本文在分析总经理在公司治理结构中地位的基础上,阐释了总经理担任公司法定代表人的利弊,提出了总经理法定代表人的公司治理结构,即股东会享有决定公司生存发展的带根本性的权力;董事会行使经营管理决策权;监事会专司监督职能,以强有力的监督去制衡董事会的强权;总经理作为公司的法定代表人代表公司对重大事项行使决策权,同时作为高级管理人员行使经营管理执行权。
The new company law stipulates that the general manager can act as the legal representative of the company. Under this model, the general manager is both the legal representative and the senior manager.
