企业一经解散，则企业所取得之法人人格即趋向消灭之途。惟其不立即消灭，是为了保护企业的债权人、投资入、职工及国家的利益，而必须依法定程序对其进行清算完毕之后，始全归消灭。由此可见，企业清算是对解散之法人企业的一切法律关系进行清理和终结，它不仅是公正处分立业
