由业主制到合伙制再到现代股份制企业,在整个企业变迁过程中,企业家人力资本越来越显示出对企业发展的影响和作用。企业家人力资本与企业产权安排的不同模式和相机治理直接影响企业家人力资本的受激励水平、程度以及企业治理效率。本文从历史、现实的逻辑对3种典型的企业形态中企业家人力资本与企业产权安排进行考察,并提出现代股份制企业中剩余索取权和剩余控制权对称安排是企业家人力资本与企业产权安排的有效路径。
From the ownership system to the partnership system and then to the modern joint-stock enterprises, in the whole process of enterprise transformation, the human capital of entrepreneurs shows more and more the influence and effect on the enterprise development. Different models of entrepreneur human capital and corporate property rights arrangements and camera governance have a direct impact on the incentive level and degree of entrepreneur human capital and the efficiency of corporate governance.
