“中国LP都想当GP!”目前我国私募股权基金界的大部分GP在谈论LP不成熟时,一般都会指出这个中国PE产业的一大特色,以此来说明中国整个LP群体的缺陷与问题。传统企业向PE领域的渗透与延伸是当前较为复杂的全球经济环境与中国经济特征所决定的。这个从LP向GP转变的决定,往往不是企业家个人简单的好恶标准所决定的,而是根源于当前国际与国内深层的经济环境与经济特征,而且其中已经完成此转变的不在少数。那么,在完成从LP到GP的华丽转变后应如何寻求PE基金更好的发展?要成为中国优秀的PE基金又应当具备哪些要素?笔者凭借对私募股权基金十余年的律师实务经验以及理论研究心得写作此文,力图为已经成为GP的广大LP提供有益的建议。
At present, most GPs in the private equity fund community in China talk about LP’s immaturity and generally point out a major feature of this PE industry in China in order to illustrate the flaws of the entire LP group in China And the problem. The infiltration and extension of traditional enterprises into the PE field are determined by the current complicated global economic environment and the Chinese economic characteristics. The decision to shift from LP to GP is often not determined by the simple standards of good and bad entrepreneurs, but rather from the current deep economic and economic environment both at home and abroad. And this has been accomplished by many. So, after completing the magnificent transformation from LP to GP, how to seek better development of PE fund? What should be the key elements of China’s outstanding PE fund? By virtue of more than ten years of experience and theory of lawyer of private equity fund, This research article is written in an attempt to provide helpful suggestions for the vast majority of LPs that have become GPs.
