21世纪被公认为是知识经济的时代,知识之创造、流通与应用将决定国家的竞争力。企业对智慧财产权的运用,则为面临国际竞争压力的制胜关键。各类产业市场竞争激烈,每每有商业间谍不当获取他人营业秘密之情事,因此营业秘密之保护策略,于智慧财产管理与企业竞争力之提升上益显重要。本研究以台湾地区“最高法院”营业秘密案例为主要研究对象,研究目的包括:(1)分析台湾营业秘密保护争讼案类型,找出问题趋势。(2)协助企业检视营业秘密保护制度,逐步完善营业秘密保护策略机制,以有效制定或调整其营业秘密保护策略方针。而在上述基础上,进一步了解营业秘密纳入刑事法保护对象的可能性。本研究认为,在管理成本效益的考量下,宜通过企业与员工间订定之营业秘密保护契约,进而建立企业内部保护管理机制,同时应追惩违约与不法侵权者,对其主张竞业禁止。
The 21st century is recognized as the era of knowledge economy, knowledge creation, circulation and application will determine the competitiveness of the country. The use of intellectual property rights by enterprises is the key to winning the international competitive pressure. Intense competition in various industrial markets often results in improper acquisition of trade secrets by commercial espionage agents. Therefore, the protection strategy of trade secrets plays an important role in enhancing the management of intellectual property and enhancing the competitiveness of enterprises. This research mainly focuses on the business secrets case of “Supreme Court ” in Taiwan. The research objectives are as follows: (1) To analyze the type of business secrets protection litigation in Taiwan and find out the trend of the problems. (2) Assisting enterprises in examining the business secret protection system and gradually improving the business secret protection strategy and mechanism to effectively formulate or adjust its business secret protection strategy guideline. On the basis of the above, we can further understand the possibility of inclusion of business secrets in the object of criminal law protection. This study argues that under the consideration of management cost-effectiveness, it is appropriate to establish a business protection and management mechanism through the business secret protection contract stipulated between the enterprise and the employees, and at the same time punish the defaulters and the unscrupulous infringers and prohibit their non-competition.
