公司诚信是公司主体人格特质中的一部分。公司诚信建设的难题是:公司人格的法律拟制性与诚信形态中的观念属性缺少自然的、个体心理学意义上的统一机制。在西方,法律传统弥补了这一缺陷,公司法与证券法的规范起到了人格塑造的作用。与其对照的是,在我国公司的成长历程中,受制于特定的历史条件,公司法治先天缺位,法律对公司人格的塑造机制长期处于缺省状态,公司诚信缺少相应的社会文化传承机制。本文因此对公司诚信做了一个基于人格分析的结构化描述,认为,从诚信的内容上看,我国公司诚信建设应继承传统伦理道德中的精华,借鉴吸收优秀的外来商业伦理,这是基础性的工作,当下尤为重要的是完善公司主体结构、培植主体性。这两方面的要求决定了我国公司诚信建设路径选择的复杂性和长期性。

These two requirements determine the complexity and long-term nature of the choice of corporate honesty in our country.
