在我国,就公司结构性变更的整体研究而言,缺乏系统性且边界十分模糊,公司结构性变更的理论界定宽泛,实际规定简略、松散;就公司结构性变更各种法律形态的研究而言,过多注重个性研究,而忽视它们的联系性和某些方面的重合性,浪费研究资源和条款资源。因此有必要提出公司结构性变更的整体概念,并在我国的公司法框架下,界定公司结构性变更的内涵和外延,明确解释公司结构性变更法律调整的一般原理。
