目前,中外合资企业有四种管理形式,即中外双方共管型、外方承包型、中方承包型和第三方承包型。大多数合资企业采用的是前两种经营形式。由于中外合资企业是由来自不同国家和地区的企业所组成,其产品往往也要参与国际竞争,因而我们必须按照国际惯例来管理合资企业。同时,由于引进国外先进管理手段是我国举办中外合资企业的重要目的之一,这就进一步要求我们摒弃落后的管理方式,向国际化管理迈进一步。然而,目前在合资企业的管理中,尤其是在共管型和中方承包的合资企业管理中,却出现了。国产化”倾向,也就是人们所说的“同化”现象。一、合资企业管理“国产化”的表现1、董事会领导下的总经理负责制名实难符。董事会是合资企业的最高权力机构。《中外合资经营企业法》第6条规定:“董事会的职权是按合营企业章程规定,讨论合营企业的一切重大问题。”《中外合资经营企业法实施条
