任何制度变迁都具有路径依赖性,都是对其历史文化背景和政治经济基础的深刻反映。中国的国有企业改革也不例外。建立现代企业制度是中国国企改革的目标和整个经济体制改革的重点,构建经济型公司治理机制则是现代企业制度的核心,但针对在渐进式改革背景下国有企业从行政型治理到经济型治理的演进所做的研究并不多。本文尝试性地对中国国有企业在渐进式改革背景下从行政型治理到经济型治理的演进独特性进行了研究,构建了演进模型,并以中央国有企业董事会试点工作为例证,得出了中国国有企业目前正处于演进的过程之中,其演进独特性是改革成功的必要条件等结论。
Any institutional change has path dependence, which is a profound reflection of its historical and cultural background and political and economic foundation. China’s state-owned enterprise reform is no exception. Establishing a modern enterprise system is the goal of China’s state-owned enterprise reform and the focus of the entire economic system reform. The establishment of an economic company governance mechanism is the core of the modern enterprise system. However, it aims at the state-owned enterprises from the administrative to the economical governance in the context of gradual reforms. There is not much research done on the evolution. This paper attempts to study the uniqueness of the gradual evolution of Chinese state-owned enterprises from administrative to economic governance in the context of gradual reforms, and builds an evolutionary model. The example of the pilot work of the board of directors of the central state-owned enterprises shows that China State-owned enterprises are currently in the process of evolution. The uniqueness of their evolution is a necessary condition for the success of the reform.
