免责条款是合同当事人在合同中事先约定的旨在限制或免除一方未来责任的条款,因其预先分配合同风险,节省交易成本,在现代社会普遍适用。本文旨在对电子合同中免责条款效力进行探讨。免责条款效力发挥的前提是免责条款订入合同;免责条款效力产生的风险主要有无效的免责条款和不合理的免责条款;文章通过结合中外对免责条款的立法,提出对电子合同中免责条款部分通过合理提示和给予相对人合理的审查机会这两种方式来进行规制。
Exemption clauses are provisions that the parties to a contract have agreed in advance in the contract to limit or exempt a party’s future liability. They are generally applicable in modern society because they pre-allocate contract risks and save transaction costs. The purpose of this article is to discuss the validity of exemption clauses in electronic contracts. The premise of the exemption clause is that the exemption clauses are included in the contract. The risks arising from the exemption clause mainly include the invalid exemption clause and the unreasonable exemption clauses. By combining the Chinese and foreign legislation on the exemption clauses, It is regulated by both reasonable hints and reasonable relative opportunities for censorship.
