公司治理结构的框架奠定了公司内部法律关系的基础。股份公司和有限公司内部法律关系存在着较大的差异,这种差异也决定二者救济上的差异。公司内部法律关系的破坏表现为对权利的侵害和对义务的违反,表现在主体的正当期待利益的落空。利益的冲突和私人关系的冲突成为破坏公司法律关系的主因。公司法律关系的救济以保护少数派的利益为价值目标。在救济原则上,包含了对公司自治的尊重和对公司团体性的维持两大基本原则。在救济路径上,则包含了内部型救济和外部型救济两大类型。
The framework of corporate governance laid the foundation for legal relationships within the company. There is a big difference between the internal legal relations of joint-stock companies and limited companies, and this discrepancy also determines the relief differences between the two. The destruction of the legal relationship within the company is manifested in the infringement of rights and the violation of obligations, which is manifested in the failure of the legitimate expectation of interest of the main body.
