集团诉讼中的代表原告与被代表人之间存在着结构性利益冲突。美国的集团诉讼制度旨在通过确保代表人与被代表人利益的一致性来实现对被代表人利益的保护,建立了集团资格认证制度、选择退出机制、集团拆分制度、介入诉讼制度、责任与救济的分立制度等协调机制。我国的代表人诉讼制度则立足于被代表人对诉讼代表人的控制而建立相应的被代表人利益保护机制,但存在着制度性缺陷,应当在立法上予以修改和完善。
