跨国经营治理模式变迁与路径选择

选择国外子公司的治理模式是中国企业进行全球投资经营的重要前提,跨越制度边界的治理中,企业面临着模式变迁的选择问题。本文遵循制度变迁的基本原理,以路径依赖、路径替代和路径偶然三个范式分析我国跨国公司国外子公司的治理模式变迁的路径演进。引入母公司的治理模式、国外子公司所在国的公司法和治理传统、公司的成长阶段三个变量分析中国跨国公司国外子公司的治理模式,并建立了国外子公司治理模式选择的基本分析框架。 Selecting the governance mode of foreign subsidiaries is an important precondition for Chinese companies to conduct global investment management. In the governance that crosses the boundary of the system, enterprises are faced with the problem of choice of mode changes. This paper follows the basic principle of institutional change, and analyzes the path evolution of foreign subsidiaries’ governance changes in China’s foreign subsidiaries through path dependence, path substitution, and path contingency. Three variables, namely the introduction of the parent company’s governance model, the company law and governance traditions of the country where the foreign subsidiary is located, and the company’s growth stage, analyze the governance models of foreign subsidiaries of Chinese multinational corporations and establish a basic analysis framework for the selection of foreign subsidiary governance models. .
