随着全球经济一体化趋势的迅猛发展和全球化进程的不断推进,跨国并购逐渐成为许多中国企业走出国门,迎接国际市场挑战的首选,迎来了继全球五次并购浪潮后的新一轮跨国并购热潮。企业文化匹配考查跨国并购前后双方企业文化的可融与相融程度,本文从理念,行为和制度这三个文化层次定性研究企业文化匹配状况,根据企业文化匹配对跨国并购绩效的影响机制,本文构建了一个相关的理论模型:当企业文化匹配低时,表现为文化差异较大,带来跨文化冲突和矛盾,对并购绩效的影响是负面的;文化匹配高则可以产生文化协同,并为企业创造价值,给企业绩效带来积极影响。
