国有企业董事会建设是国有企业改革的重要内容,在这一改革的过程中,建立具有中国特色的外部董事制度还存在许多亟待研究和解决的问题。本文立足于此,应用“扎根理论”方法进行探索性研究,通过对9家国有企业的45名董事会成员进行深度访谈,归纳出外部董事特质对董事会决策绩效的影响模型,并提出了构建外部董事“人才库”和完善董事会沟通机制的建议。
The construction of the board of directors of state-owned enterprises is an important part of the reform of state-owned enterprises. In the course of this reform, there are still many problems that need to be studied and solved urgently to establish an external director system with Chinese characteristics. Based on this, the paper uses the “Grouting Theory” method to conduct exploratory research. Through in-depth interviews with 45 board members of 9 state-owned enterprises, this paper summarizes the influence model of the external director’s characteristics on the decision-making performance of the board of directors, External Director “Talent Pool ” and Suggestions on Perfecting the Communication Mechanism of the Board of Directors.
