案例2013年10月,谢先生以自然人身份,通过拍卖方式取得了一宗国有建设用地的使用权,成交总价1.2亿元,土地用途为商品住宅,并与市国土局签订了《成交确认书》。由于开发资金不足,谢先生找到资金雄厚的刘先生,提出合作开发该地块。合作协议拟定:谢先生以土地使用权入股,刘先生以资金入股,成立新公司,开发住宅所得利润按照股份分成,并到工商部门办理了新公司注册登记。随后,两人到国土局缴纳了6000万元的首付款,谢先生向国土局提出与新公司签订《国有建设用地使用权出让合同》,而国土局认为谢先生没有在申请书中说明,所以,不能办理。于是,刘先生便要求谢先生退款,而谢先生认为该款项是新公司的资金,不是他的借款。
