我国的公司制是在传统国有企业制度的基础上改造而成的 ,它和传统的党管干部的干部管理制度和高度集权的管理体制有诸多矛盾。试点企业不能仅满足于已按《公司法》建立了形式上的公司治理结构 ,关键是要把公司治理结构同我国的文化环境和制度环境有机结合起来 ,以保证公司治理结构的有效运行。
Our company system was transformed from the traditional system of state-owned enterprises. It has many contradictions with the traditional cadre management system and the highly centralized management system of party cadres. Pilot enterprises can not only be satisfied that they have established a formal corporate governance structure in accordance with the Company Law, but the key point is to organically combine the corporate governance structure with the cultural environment and institutional environment in our country so as to ensure the effective operation of the corporate governance structure.
