对公司治理的迫切需求引起了国内对日美两大公司治理模式的“拿来主义”。本文通过对两大模式形成的分析,认为公司治理机制的建立有着很强的路径依赖性。不同国家的公司治理模式应该适应本国特定的制度环境。而在一个国家内部,特别是在我国这样的转型经济国家,也不一定有着统一的公司治理模式。每一个公司都应根据本公司所处的发展阶段、自己的特征和需要来建立“现阶段”有效的治理机制,应该而且必须有自己的治理“个性”。同时,以科学的发展观看待公司治理机制的动态变化。
The urgent need for corporate governance has given rise to a “take-away” approach to the two corporate governance models in Japan and the United States. Through the analysis of the formation of the two models, this paper believes that the establishment of corporate governance mechanism has a strong path dependence. The corporate governance models in different countries should adapt to the specific institutional environment in their country. In a country, especially in a transitional economy such as ours, it may not necessarily have a unified model of corporate governance. Each company should establish an effective governance mechanism of “the present stage” according to its own development stage, its own characteristics and needs, and it should and must have its own “personality” of governance. At the same time, we should view the dynamic change of corporate governance mechanism with the scientific development concept.
