目前中国进行公司制改组 (现代企业制度改革 )的真正实现需要许多条件 ,笔者主要从董事所负义务角度进行探讨 ,将国内外立法对董事所负义务进行了比较论述 ,分析了中国董事难以履行其义务的原因 ,探讨了如何保证董事更好地履行其义务 At present, China needs many conditions for the real realization of the reform of the corporate system (modern enterprise system reform).
