上市公司是其股票在证券交易所上市交易的股份公司。是市场经济高度发达的产物,也是证券市场孕育和造就出来的充满活力的公司主体,在市场经济发达国家的诸多企业形式中其占据重要地位,同时也表现出突出的作用。上市公司的发展,受到整个经济大环境的制约,但与其公司治理模式也存在着千丝万缕的联系。从某种意义上说,公司的治理结构是承担整个证券市场的基石。因而,采用合适的公司治理模式,对于上市公司甚至是整个证券市场,其意义是十分深远的。本文首先对当前主要的公司治理模式进行概述和比较分析,进而结合我国实际情况,探讨适合我国上市公司的治理模式。 A listed company is a stock company whose shares are traded on the stock exchange. Is a highly developed product of the market economy and is also a dynamic corporate body born out of the securities market. It occupies an important position in many forms of enterprises in the market economy developed countries and also plays an outstanding role. The development of listed companies, subject to the constraints of the entire economic environment, but with its corporate governance model is also inextricably linked. In a sense, the company’s governance structure is the cornerstone of the entire securities market. Therefore, the use of appropriate corporate governance model, for listed companies and even the entire stock market, its significance is very far-reaching. This article first summarizes and compares the current main corporate governance models, and then discusses the governance models suitable for the listed companies in our country based on the actual situation in our country.
