在我国城镇化高速发展过程中,地方政府因资金短缺,大量采用“毛地挂牌、净地交付”的方式出让国有土地使用权。在当前经济下行、房市降温的背景下,这种情况导致因政府未依约交地而出现大量的诉讼、仲裁案件。此类土地出让方式中,政府未依约交地是否应承担违约责任、应承担哪些违约责任等均会出现巨大分歧。本文基于此现状,对“毛地挂牌、净地交付”出让方式中,政府未依约交地的法律后果、违约责任等问题进行研究探讨,以期厘清双方权利义务,提示政府在签订和履行相关合同过程中,关注并积极防范法律风险。
In the process of rapid urbanization in our country, the local government sells the right to use state-owned land due to the shortage of funds and the extensive use of “land listing and net delivery”. In the current economic downturn, the housing market cooling context, this situation led to a large number of litigation and arbitration cases because of the government’s failure to pay the contract. In such methods of land transfer, there is a huge disagreement on whether the government should assume the responsibility for breach of contract if it fails to pay the contract or which party should bear the liability for breach of contract. Based on the status quo, this article studies and discusses the legal consequences and liability for breach of contract of “land listing, net delivery”, and the responsibility of breach of contract by the government, so as to clarify the rights and obligations of both parties and prompt the government to sign and Fulfillment of the relevant contracts, attention and actively prevent legal risks.
