公司治理机制概念的提出源于上世纪80年代。在当时经济迅猛发展以及资本高度集中的背景下,公司规模不断扩大,导致了股东数量的增加和高度分散,从而加大了公司经营的难度。因此一些大公司就探索出一条所有权与经营权分离的道路,自此公司治理问题随之产生。现代公司模式历经一百余年发展,公司治理问题比较成熟,相关立法相对完备。但随着经济形势的新发展,一些诸如科技创新、全球经济一体化等问题的出现,对公司治理又提出了更高的要求。本文以市场经济全球化为依托,对公司治理机制进行探究,从而对我国公司治理机制发展面临的问题进行判断并提出建议。
The concept of corporate governance was proposed in the 1980s. Under the background of rapid economic development and high concentration of capital, the continuous expansion of the company led to an increase in the number of shareholders and a high degree of fragmentation, which in turn made it more difficult for the company to operate. As a result, some big companies have explored a path of separation of ownership and management rights, from which problems of corporate governance arise. After more than one hundred years of development, the modern corporate model is more mature and the relevant legislation is relatively complete. However, with the new development of the economic situation, the emergence of some problems such as scientific and technological innovation and the global economic integration put forward higher requirements on corporate governance. Based on the globalization of market economy, this article probes into the corporate governance mechanism and then makes a judgment on the problems that the development of corporate governance mechanism in our country faces and puts forward some suggestions.
