对外并购是企业进行扩张发展的主要途径之一,富有竞争力的企业常常通过并购的方式来快速扩大自己的规模,以实现一体化和规模化发展。在企业并购过程中,母公司需要有较强的管控能力,为此,母公司往往需要将自身的管理模式复制到并购的子公司中去,进行管理模式的整合和同化,以实现集团管理的统一性、高效化。本文从企业基因遗传的视角,通过企业案例研究的方法,来揭示母公司对并购子公司管理模式整合的内在机理,以作为其它公司借鉴之用。
Foreign mergers and acquisitions (M & A) are one of the main ways for an enterprise to expand and develop. Competitive enterprises often expand their scale rapidly through mergers and acquisitions so as to achieve the integration and scale development. In the course of corporate mergers and acquisitions, the parent company needs to have strong management and control ability. For this reason, the parent company often needs to copy its own management model to the subsidiaries of the mergers and acquisitions to integrate and assimilate the management mode in order to realize the group management Uniformity and efficiency. From the perspective of enterprise genetics, this paper reveals the internal mechanism of parent company’s integration of M & A subsidiary’s management mode through corporate case studies to learn from other companies.
