“红帽子企业”是指挂着集体企业名义的私人企业。其是否具备法人资格、其债务由谁承担等问题，法律、行政规章、司法解释均无明确规定，造成有关司法实践的困惑和执法的不统一。“红帽子企业”因其不是依法成立，没有独立的财产、虚构组织机构而不具备法人资格，不能独立承担民事责任。“红帽子企业”因缺乏发展集体经济的相应条件，个体、私营经营缺乏良好的生存发展环境，严格执法与地方政府意志的矛盾等原因而屡禁不止。解决这一问题的根本办法是建立、完善现代企业制度，并尽早制定有关司法解释。
