股票期权激励是企业资产所有者对经营者实行的一种长期激励的报酬制度。其理论基础有委托代理理论、人力资本理论、交易费用理论、内部人控制理论、需要层次理论等。本文通过分析讨论股票期权激励制度的理论基础,得出股票期权激励制度将经营者的收益与企业效益联系在起来,建立二者之间的正相关关系,使经营者更加关心投资者的利益和资产的保值与增值。
