美国的CEO制度是在美国较为完善的公司法人治理结构这一基础上发展与成熟起来的。这一结构的先进性在于它合理地设置了股东会、董事会及经理层三者之间分立与制衡关系。相较于美国公司法人治理结构,笔者认为,我国公司还存在股权结构不合理、董事会权责不明、监事会虚设、人力资本市场空白等很多问题,因此,在我国设立CEO制度还缺乏良好的法律环境,必须建立相关的配套法律制度。
The U.S. CEO system developed and matured on the basis of the more perfect corporate governance structure in the United States. The advanced nature of this structure lies in the fact that it has rationally set up a system of separation and checks and balances among the shareholders’ meeting, the board of directors and the manager. Compared with the corporate governance structure of American companies, the author believes that there are still many problems such as irrational ownership structure, unclear powers and responsibilities of the board of directors, illegitimate board of supervisors and blank of human capital market. Therefore, the establishment of CEO system in our country lacks a good legal environment , We must establish the relevant supporting legal system.
