本文基于2007~2014年我国14家上市银行的相关数据,从股权结构、董事会、高管激励三个角度,考察了公司治理对商业银行风险承担的影响。研究结果显示:股权集中有助于解决经理人的道德风险问题;第一大股东的国有性质能够约束银行的冒险行为。董事会规模对银行风险影响并不显著;但董事会独立性有利于防范银行承担过度风险。高管的薪酬水平与银行风险显著正相关;而高管持股状况对银行风险的影响并不显著。最后,本文根据上述研究结果给出了简要的结论与启示。
Based on the data of 14 listed banks in China from 2007 to 2014, this paper examines the impact of corporate governance on the risk appetite of commercial banks from three aspects: ownership structure, board of directors and senior executives. The results show that: the concentration of ownership helps to solve the problem of manager’s moral hazard; the state-owned nature of the largest shareholder can restrain bank’s risk-taking behavior. The size of the board of directors has no significant effect on the bank’s risk. However, the independence of the board of directors helps to prevent the bank from assuming excessive risk. There is a significant positive correlation between executive pay and bank risk, while the impact of executive stock ownership on bank risk is not significant. Finally, this article gives a brief conclusion and enlightenment based on the above research results.
