企业社会责任的定位与其内部治理结构之间关系紧密。在“股东至上”的公司治理结构下,企业必然以股东利润最大化作为唯一的经营目标和社会责任。随着利益相关者治理理论的兴起,企业的单边治理结构被多边的共同治理结构所取代,企业社会责任的内容与范围也随之变化。本文认为企业社会责任与治理结构之间具有对应性。根据契约理论和产权理论,企业的治理结构是多方利益相关者通过谈判而形成的。治理结构的内生性决定了企业社会责任也是内生的,它随着治理结构的改变而改变。当利益相关者通过谈判达成一致时,企业的社会责任也已随之定位。除此之外,任何外界强加给企业的社会责任都会对企业造成额外负担。
There is a close relationship between the positioning of corporate social responsibility and its internal governance structure. Under the corporate governance structure of “shareholders’ supremacy,” companies must maximize shareholder profits as the only business objective and social responsibility. With the rise of the theory of stakeholder governance, the corporate unilateral governance structure has been replaced by a multilateral common governance structure, and the content and scope of corporate social responsibility has also changed. This paper considers the correspondence between corporate social responsibility and governance structure. According to contract theory and property rights theory, the corporate governance structure is formed through multi-stakeholder negotiations. The endogeneity of governance structure determines that corporate social responsibility is also endogenous, and it changes with the change of governance structure. When stakeholders reach an agreement through negotiation, corporate social responsibility has also been positioned accordingly. In addition, any external social responsibility imposed on the company will impose an additional burden on the company.
