案例魏某等62人系某孔制品厂的职工。2003年初,乳制品厂改制成立为乳业制品有限责任公司(以下简称“乳业制品公司”)。改制时,乳制品厂职工均持有公司股份,由于职工人数众多,成立了“职工持股会”,代表职工参加公司股东会行使股东权利。职工持股会章程规定:“持股会实行少数服从多数的议事方式,共同推举李某代表持股会对外行使权利。”乳业制品公司注册资本为600万元,其中职工持股会占有210万元股权,周某个人出资300万元,杨某个人出资90万元。2003年3月份,“职工持股会”、周某和杨某以乳业制品公司股东的身份在工商行政管理机关进行了登记,周某任公司法定代表人。2007年3月,乳业制品公司决定变更公司类型,将原来的有限责任公司变更为股份有限公司。经
