意向书是国家之间,单位之间或单位与个人之间,对某项事务在正式签定条约、达成协议之前,由一方向另一方表明基本态度或提出初步设想的一种协商性的应用文书。意向书的主要作用是传达“意向”,提请对方注意或参考。如果甲方提出的意向书的内容与乙方的想法基本一致,能为乙方所接受,那就为双方达成协议提供了基础,意向书也将成为协议书或合同的基础。如果甲方提出意向书的内容不能为乙方所完全接受,或完全不能接受,则有两种情况:或协商告吹,不签定协议书或合同,或由乙方再提出一份意向
A letter of intent is a negotiable instrument of application by one party to indicate the basic attitude of the other party or to propose the initial idea before the agreement is signed between the countries and units or between the entity and the individual and before a treaty is signed. The main purpose of the letter of intent is to convey the “intention” to draw attention or reference to the other party. If the contents of the Letter of Intent proposed by Party A are basically the same as that of Party B and can be accepted by Party B, then it will provide the basis for the parties to reach an agreement. The letter of intent will also form the basis of the agreement or contract. If Party A submits the content of the letter of intent can not be completely accepted by Party B, or totally unacceptable, there are two situations: either through consultation, without signing an agreement or contract, or by Party B to propose another intention
