本文从总经理职位稳定性的角度,对1995年年底以前在沪深两地公开发行A股股票的234家样本公司,自公司上市之日起至2008年9月30日止所发生的总经理任职、离职和继任事件,进行了综合性的考察研究。考察发现,样本公司在观察期内普遍背离公司章程中对总经理任期的明确规定,在职总经理普遍任期偏短、更换频率偏高。研究表明:所有影响公司绩效的因素,是通过总经理职位的“稳定性”来实现的。围绕改善总经理职位稳定性的主题,文章从企业制度方面提出了建议。
This article from the perspective of the stability of the post of general manager, before the end of 1995 before the public offering of A shares in Shanghai and Shenzhen 234 sample companies, from the company’s listing date until September 30, 2008 the general manager Office, resignation and succession, conducted a comprehensive study of the study. Focusing on the theme of improving the stability of the general manager position, the article puts forward suggestions on the corporate system.
