竞业禁止制度是保障雇主利益重要制度,其对雇主、雇员和社会三方都有较大影响,因此对竞业禁止合理的限制就十分重要。合理的竞业禁止制度必须考察是否有可保护的合法商业利益、对象有无特定性、限制的地域与工作范围、竞业禁止的期限等方面。我国对与竞业禁止的立法有部分合理性方面的规定,但仍需进一步完善。
The non-competition system is an important system to protect the interests of employers. It has a great impact on employers, employees and the community. Therefore, it is very important to prohibit non-competition from any reasonable restrictions. Proper non-competition system must examine whether there are legitimate business interests that can be protected, whether the target has certain characteristics, the scope of the restricted area and the scope of work, and the duration of non-competition. China’s legislation on the prohibition of non-competition has some rationality requirements, but it still needs to be further improved.
