在引入境外战略投资者的改革过程中,出现了诸多遭受外方依合资(作)协议向中方提起诉讼的案例.使中方损失惨重,与引资初衷大相径庭。本文通过颇受各界关注的大唐电信与美国华平创业投资有限公司(以下简称华平投资)甜蜜而苦涩的“联姻”案例,分析我国企业在引进境外投资者时应持的基本态度和风险控制问题。一、案例:精心设计的合资方案成为“大唐电信”合资陷阱2003年9月,大唐电信引入了华平投资,后者参股大唐电信控股子公司——大唐微电子技术有限公司,协助大唐微电子公司在技术、人才和资源等方面进行全球配置,并计划促成大唐微电子海外上市,双方初步签署了投资意向书。至2004年7月大唐电信在获得其董事会及政府有关部门的批准之后,与华平投资签署了一系列关于大唐微电子引入外资的协议。为能实现境外资金注入国有企业而绕过政策限制,双方都在英属维尔京群岛(BVI)注册成立了持股公司。华平投资
