西方国家中,德国的公司控制权配置机制是颇具特色的。如设置监事会和管理委员会的双层董事会模式,由监督委员会掌握间接控制权,由管理委员会掌握直接控制权,在监督委员会中职工代表要占一定比例。本文考察德国公司控制权配置机制的特点,分析德国公司控制权配置机制的作用及存在的问题,并探讨德国公司控制权配置机制的改革问题。
Western countries, Germany, the allocation of corporate control mechanism is quite distinctive. For example, if the board of supervisors and the management committee are set up as a double board model, the supervisory committee shall have indirect control over the board of directors, and the board of management shall have direct control over it. Staff representatives represent a certain percentage of the supervisory committee. This article examines the characteristics of German companies’ control rights allocation mechanism, analyzes the role and problems of German companies’ control rights allocation mechanism, and discusses the reform of German companies’ control rights allocation mechanism.
