《企业破产法》创设了管理人制度,最高人民法院在相关司法解释中对管理人的指定和报酬作出了进一步规定。但是《企业破产法》实施后的司法实践显示,仍存在一些问题需要进一步研究解决。笔者在本文中对管理人指定与报酬制度的完善提出一些立法建议,认为应对管理人随机指定制度加以改进,以解决破产案件与指定之管理人的能力不相对应的问题;为解决基本上无产可破或无管理人报酬可支付案件的破产费用和管理人报酬支付问题,应设立相关基金,并对管理人协会的建立作出进一步呼吁。此外,文章对管理人的资格制度改革与培训问题也提出了一些设想。
The Enterprise Bankruptcy Law created a system of administrators, and the Supreme People’s Court further stipulated the designation and remuneration of managers in the relevant judicial interpretations. However, the judicial practice after the implementation of the Enterprise Bankruptcy Law shows that there are still some problems that need to be further studied and solved. In this paper, the author puts forward some legislative suggestions on the improvement of the appointment and remuneration system of managers, and thinks that the manager’s random designation system should be improved to solve the problem that the bankruptcy cases do not correspond to the designated manager’s ability. Breakable or unmanaged remuneration paid to cover the bankruptcy costs of the case and the payment of remuneration of the manager should be set up related funds, and the administrator association to make further calls for the establishment. In addition, the article also put forward some tentative ideas on the reform and training of administrator qualification system.
