本文提出管理层激励优化模式设计思路,包括技术层面的设计思路和制度层面的设计思路,前者是使优化模式更为科学、合理,后者则是前者有效实施的保证,两者不可偏废。技术层面的设计思路是:建立合理的绩效考核评价体系,货币报酬激励、股权激励与控制权激励合理组合,实施长期福利计划,正激励与负激励相结合;制度层面的设计思路是:设立独立权威的激励决策机构,建立委托代理关系明晰的管理层结构,建立市场化的人力资本的选拔及任用机制。
This paper puts forward the design idea of management incentive optimization mode, including the technical design ideas and system level design ideas, the former is to make the optimization model more scientific and reasonable, the latter is the former guarantee of the effective implementation of the two can not be neglected.
