随着社会经济的发展及股权结构改革的进一步深入,大股东的违规手段与传统手段相比出现了新的方式和特点。相比于大股东对公司的控制、支配地位,中小股东在公司处于弱势地位,其知情权、分红权等合法权益随时可能遭到大股东不正当交易的侵害。本文从中小企业股东权益的现状与主要问题进行分析,提出对其知情权等合法权益的保护与完善相关策略。 With the further development of social economy and the reform of the ownership structure, new ways and features have emerged in the non-compliance measures of major shareholders compared with traditional methods. Compared with the control and dominance of the major shareholder in the company, the minority shareholders in the company are in a weak position. The legitimate rights and interests such as the right to know and the right to dividend may at any time be infringed upon by the major shareholder’s improper transaction. This article analyzes the status quo and main problems of SMEs ’shareholders’ rights and interests, and puts forward some strategies to protect and improve their legal rights such as their right to know.
