在“董事会(board of directors)”一词被正式和普遍使用以前,事实上的公司董事会已经存在了数百年的时间。“助理董事会(board of assistants)”、“委员董事会(board of committees)”是两个最常用来指称董事会的概念。有据可查最早使用董事会概念的是1618年成立的英国非洲公司,该公司特许章程规定了由12名“董事”构成的董事会。但直到十七世纪末,“董事”这一术语并没有得到进一步使用。1694年英格兰银行章程正式采用了“董事”一词之后,“董事”一词开始得到普及,取代了“助理”、“委员”等词
The de facto board of directors has existed for centuries before the word “board of directors” was formally and universally used. “Board of assistants ”, “board of committees ” are the two concepts most commonly used to refer to boards of directors. It is well documented that the earliest use of the concept of the board of directors was the British African company founded in 1618, whose charter provides for a board of 12 directors. However, it was not until the end of the 17th century that the term “director” was not used further. After the formal adoption of the term “director” in the Bank of England in 1694, the term “director” began to gain popularity, replacing the words “assistant”, “committee”
