在现代公司中,表决权是一个使得公司经营权保持稳定或转移的机制。对于股东或者董事来说,表决权就是他们在海中赖以前进的船桨。基于一股一权、一人一票原则诞生的表决权体现了公平平等的原则,同时保证了股东和董事参与公司的决策和管理。然而,股东、董事等公司的相关利益人以追求自身利益为目的,很可能会滥用这些原则,在股东大会或者董事会上通过对自身有益的决议事项,为其攫取利益披上合法的外衣。为了防止这种损害公司其他相关利益人的权利和公司利益的行为发生,表决权排除制度应运而生。
In modern companies, voting is a mechanism that keeps the company’s management rights stable or shifting.
