随着人们采用企业这种社会化生产的组织形式代替个体生产来生产商品后,劳动力和资本成为了社会化大生产的基本要素。企业是生产资料的所有者和劳动力的所有者通过投资与投劳创造财富和分享财富的合作组织。本文通过论述经营权的渊源和判析,从经济法中的最基本权利——劳动力能力权,来确认和保护企业经营权,以使劳动者通过其劳动力投入企业形成人力资本,共同创造财富并分享财富,形成激励约束机制来促进人力资本和物力资本的契合,从而推动社会进步。
As people use the organizational form of social production to replace individual production to produce goods, labor and capital have become the basic elements of socialized production. The enterprise is the cooperative organization of the owner of the means of production and the owner of the labor force to create wealth and share wealth through investment and labor. This paper discusses the origin and judgment of management rights, and recognizes and protects the business management rights from the most basic right in the economic law: the right to labor power, so that laborers can use their labor input to form human capital and create wealth together. Sharing wealth, forming an incentive and restraint mechanism to promote the integration of human capital and material capital, so as to promote social progress.
