随着我国社会主义市场经济的不断发展,为了更好地适应激烈的竞争环境,我国大部分企业集团通过母子公司的形式进行统一管理和战略发展。这种现代化的企业集团组织形式在一定程度上改善了企业集团的内部关系,有效地调整了企业集团各组成部分的协调与发展,为促进企业集团战略发展目标的实现创造了条件。但是,这种组织形式也存在着一定的弊端,很容易导致母、子公司出现利益冲突等问题的发生。本文将就企业集团母、子公司之间的利益冲突问题进行剖析,并探寻有效协调母、子公司关系的对策。
With the continuous development of China’s socialist market economy, in order to better adapt to the fierce competitive environment, most of the enterprise groups in our country carry out unified management and strategic development in the form of mother-subsidiary companies. This modern enterprise group organizational form to some extent to improve the internal relations of enterprise groups, effectively adjust the coordination and development of the various components of enterprise groups, to promote the realization of the strategic development goals of enterprise groups to create the conditions. However, this form of organization also has some drawbacks, which can easily lead to conflicts of interest between the mother and the subsidiaries. This article will analyze the problem of conflicts of interest between the parent and the subsidiary of the enterprise group and explore the countermeasures to effectively coordinate the relationship between the parent and the subsidiary.
