鉴于我公司的监事会难以有效地发挥监督作用,我国开始逐步引进独立董事伟度。笔者认为,因为独立董事本身存在着缺陷,并且与我国的监事会制度存在冲突,我国也缺乏建立独立董事制度的条件,所以,独立董事制度在我国不具有可行性。我国应当致力于监事会监督机制的完善。 In view of the difficulty of the supervisory board of our company playing a supervisory role effectively, our country has gradually introduced the greatness of independent directors. The author believes that because of the defects of the independent directors themselves and the conflict with the system of the supervisory board in our country, our country also lacks the conditions for the establishment of an independent director system. Therefore, the system of independent directors is not feasible in our country. Our country should devote itself to improving the supervisory mechanism of the board of supervisors.
