国有资产经营管理公司既是50%股权转让的出让方,又是项目公司的50%股权的存续股东,综合考虑的是部分股权转让收益和合资经营后收益的协同效应以转让部分股权的方式选择经营合作伙伴的项目,在产权市场是备受关注的。这一类型的交易项目特别是大项目,对受让方的资格条件和经营能力有特殊要求。日前,一家国有资产经营管理公司借助交易平台的服务功能,公开转让全资拥有的置业公司50%的股权。这种以市场化方式选择经营合作伙伴的成功案例,对我们有所启迪。
